1. Applicability

1.1 These Terms & Conditions apply to all companies (not private individuals) that enter into an office lease agreement with Hubstance Luxembourg SARL (RCS Luxembourg B295037), referred to as "we", "us" or "our".

1.2 By requesting a proposal, booking a viewing, signing an office agreement or occupying the premises, you accept these Terms & Conditions.

2. Our Services

2.1 We provide turnkey private offices (lockable, for exclusive use by one company). We give the company the opportunity to register additional client group companies to adhere to the lease by signing a Form of Adherence. The offices include:

  • Full office furniture, daily cleaning, utilities and heating/cooling
  • High-speed internet and reception services
  • Mail & parcel handling
  • Free use of meeting rooms (fair-use policy applies)
  • 24/7 secured access and common areas

2.2 The minimum initial term is 6 months.

3. Duration, Renewal & Notice Period

3.1 The agreement starts on the commencement date and runs for the initial term stated in your office agreement (minimum 6 months).

3.2 Renewal terms after the initial period (automatic renewal or fixed end-date) and the applicable notice period are negotiated on a case-by-case basis and explicitly set out in your office agreement to best suit your business plans.

4. Rent, Invoicing & Payment

4.1 The monthly rent is specified in your office agreement.

4.2 We invoice quarterly and one month in advance.

4.3 Invoices are payable within 30 days of the invoice date. Late payments accrue statutory interest and may, after reminder, result in suspension of access.

4.4 A security deposit of three (3) months' rent is payable before move-in and will be refunded (less any deductions) within 30 days after the office is returned in good condition.

4.5 Rent may be adjusted upon renewal with at least 30 days' written notice.

5. Use of the Premises & House Rules

5.1 The office may only be used for ordinary professional office activities.

5.2 You and your employees/visitors must comply with the house rules provided with the agreement and displayed on site.

6. Liability

6.1 We are liable only for direct damage caused by our wilful misconduct or gross negligence.

6.2 Our total liability is limited to the rent paid by you in the 12 months preceding the damaging event, without limit for death or personal injury arising from our negligence (or any other liability that cannot be excluded or limited by law).

6.3 We are not liable for indirect or consequential loss, loss of profit, data loss, business interruption, or theft/damage to your property unless caused by our gross negligence.

6.4 We are not liable for delays or failures due to force majeure events beyond our reasonable control.

7. Termination

7.1 Termination (including non-renewal) follows the renewal and notice provisions agreed in your office agreement.

7.2 We may terminate with immediate effect (after a 14-day remedy period where applicable) in case of repeated non-payment, serious breach of house rules, insolvency proceedings, or illegal use of the premises.

7.3 Upon termination you must vacate and return the office in its original condition (normal wear and tear excepted).

8. Marketing Consent

You authorise us to use your company logo and name on our website and marketing materials (e.g. "Our Clients" section) unless you notify us in writing that you object.

9. Data Protection

We process personal data in accordance with the GDPR and Luxembourg law. Full details are in our Privacy Policy ([link]).

10. Governing Law & Jurisdiction

These Terms & Conditions and all office agreements are governed by Luxembourg law. Any disputes shall be submitted to the courts of Luxembourg City.

11. Amendments & Contact

We may amend these Terms & Conditions. Material changes will be notified at least 30 days in advance by email or on the website.
